Our Terms and Conditions
Introduction
Pesapeer (hereinafter "Pesapeer," "we," "us," or "our") is a financial services platform that enables users to transfer money, hold funds in multi-currency digital wallets, and use debit card services across more than 40 countries worldwide. By accessing or using Pesapeer’s website, mobile application, and related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions, as well as our Privacy Policy and any other policies referenced herein. If you do not agree with these terms, you must discontinue use of the Services.
Pesapeer’s Services are offered by Pesapeer Inc. and its affiliated entities in various jurisdictions, including Pesapeer Payments Limited in the United Kingdom/Europe, Pesapeer Pty Ltd in Australia, and other duly licensed affiliates. Our platform is designed for both individual consumers and business clients, subject to the eligibility requirements and jurisdictional limitations set forth below.
Definition
For purposes of these Terms and Conditions, the following definitions apply:
- "Pesapeer," "we," "us," or "our": Refers to Pesapeer Inc. and its successors, affiliates, and assignees, including Pesapeer Payments Limited in the UK/EU, Pesapeer Pty Ltd in Australia, and any authorized partner entities that facilitate Pesapeer’s services in your region (for example, a licensed third-party provider in the UAE).
- "You" or "User": The individual person or business entity who accesses or uses our Services, including any person authorized to act on a business’s behalf.
- "Services": All products and services provided by Pesapeer, including access to our website and mobile application, international money transfer/remittance services, multi-currency wallet services, and debit/prepaid card services, as well as any other features, technologies, or functionalities we offer.
- "Pesapeer Wallet" or "Wallet": A non-interest-bearing electronic money account maintained by Pesapeer for you, which holds funds in one or multiple currencies and from which you can send remittances or make payments. This is NOT a bank deposit account, and funds in the Wallet do not earn interest nor have deposit insurance coverage.
- "Remittance" or "Money Transfer": A transfer of funds that you, as the
sender, instruct Pesapeer to deliver to a designated recipient (the "Recipient") through our Service. A Remittance may involve converting
currency from your Wallet and paying out to your Recipient in another
country. - "Recipient": The person or entity to whom you send money using our Services (for example, a friend, family member, or supplier).
- "Payment Account": A funding source that you link to your Pesapeer Wallet, such as your bank account or debit card, which is held in your name and used to load funds into the Wallet.
- "Pesapeer Card" or "Debit Card": A prepaid debit card issued by or on behalf of Pesapeer (under a card network such as Visa or MasterCard) that is linked to your Pesapeer Wallet. The Card allows you to spend funds from your Wallet balance in a specified currency. Additional card-specific terms may apply, and the Card remains the property of the issuer.
Other capitalized terms may be defined elsewhere in these Terms or in our PrivacyPolicy. These definitions are provided for clarity and shall apply throughout this document.
Account Eligibility and Registration
To use Pesapeer’s Services, you must meet the following eligibility criteria and complete our registration process:
- Minimum Age: You must be at least 18 years old (or the age of majority in your jurisdiction) to open a Pesapeer account and use our Services. By registering, you represent that you are legally competent to enter into this agreement.
- Residency: You must reside in, and access the Services from, a country or region where Pesapeer is authorized to operate. Pesapeer currently supports customers in Canada, the United Kingdom, the European Economic Area (EEA) countries, the United Arab Emirates (UAE), and other select markets. You may only send Remittances from an approved origination country and toRecipients in countries where Pesapeer’s services are available. We may update the list of supported countries from time to time.
- Personal or Business Use: Our Services are available to individuals for personal, family, or household use, and to business entities for legitimate business purposes. If you are registering on behalf of a company or other organization, you must have the authority to bind that entity to these Terms,and you agree that the entity will be responsible for compliance. Business users may be required to provide additional information (e.g. business registration documents, proof of ownership, and authorizations).
- Account Registration: You must create an account by providing truthful, accurate, and complete information about yourself (and if applicable, your business). This includes your full legal name (or business name), residential address, email, mobile phone number, date of birth or incorporation, and any other information we request during sign-up. You agree to promptly update your account information if it changes. Each individual or entity is generally limited to one Pesapeer account, unless we approve additional accounts in writing.
- Identity Verification (KYC): As a regulated financial services provider, Pesapeer is legally required to verify your identity before allowing certain transactions. You must complete all required Know-Your-Customer (KYC) and customer due diligence steps. This process may include verifying your email and phone number, submitting government-issued identification (e.g., passport or driver’s license), a “selfie” or photograph for identity confirmation, and any other information or documents we request to comply with our anti-money laundering obligations. We may also require additional verification for higher transaction volumes or for business accounts (such as providing information on directors, shareholders, or source of funds). Until you successfully pass KYC and any other verification, certain features (like sending or withdrawing funds) may be limited or unavailable.
- Security Credentials: When registering, you will set up login credentials, including a username (which may be your email) and a secure password. You are responsible for keeping your login credentials confidential and for securing access to your account. Do not share your password or PIN with anyone. Pesapeer will never ask you for your password. If you suspect your account credentials have been lost, stolen, or compromised, you must notify us immediately and change your password. You are responsible for all activities that occur under your account, except to the extent caused by our negligence or breach.
- Approval of Registration: After you submit your registration information and complete verification, Pesapeer will review your application. We reserve the right to approve or reject account registrations at our sole discretion. If your registration is approved, you will be granted access to the Services in accordance with these Terms. Providing false, inaccurate, or incomplete information, or refusing to provide information, is grounds for suspension or termination of your account. Pesapeer may also refuse to open an account for any applicant that fails to meet our compliance criteria or if required by law.
Multi-Currency Wallet Services
Pesapeer provides you with a multi-currency Wallet that allows you to hold and manage funds in different currencies (e.g., NGN, CAD, USD, GBP, EUR, AED, etc.) within a single account. Key terms related to the Wallet include:
- E-Money Account (Not a Bank Account): Your Pesapeer Wallet stores electronic money (e-money) equivalent to the funds you have loaded. It is nota traditional bank account. Pesapeer is not a bank and does not take deposits; instead, as an authorized Electronic Money Institution in certain jurisdictions, we safeguard customer funds by holding them in segregated accounts with reputable financial institutions, in accordance with local regulations. No interest is paid on balances in your Wallet, and the funds are not covered by government deposit insurance schemes (such as the Canada Deposit Insurance Corporation or UK Financial Services Compensation Scheme). Pesapeer’s sole obligation is to hold and transfer your e-money as instructed, and to return your funds to you upon request, subject to these Terms. No fiduciary, trustee, or escrow relationship is created – i.e., Pesapeer acts as a payment provider, not as your agent or trustee for the funds.
- Loading Funds: You may add money to your Pesapeer Wallet using a linked Payment Account or other accepted funding methods (for example, bank transfer, Interac e-Transfer in Canada, wire transfer, debit card, etc., depending on your country). Funds loaded will be credited to your Wallet in the chosen currency after any necessary security or compliance checks. In some cases, we may provide local bank account details or partner services for you to deposit money (e.g., a virtual account number in your name). All deposits must originate from an account or card in your own name; we do not accept third-party payments into your Wallet.
- Multi-Currency Balances and Conversion: Your Wallet may hold balances in multiple currencies. You can exchange or convert funds from one currency to another within the Wallet at prevailing exchange rates offered by Pesapeer. We will display the applicable rate and any conversion fees (if any) at the time you initiate a currency exchange. Once you confirm a conversion, the transaction is irreversible. Pesapeer uses commercially reasonable efforts to provide competitive exchange rates (often better than traditional banks), but rates are subject to market fluctuations. Note: Conversions may include a small margin above the interbank rate, which is how Pesapeer covers its costs and offers fee-free transfers.
- Wallet Use and Restrictions: You may use your Wallet balance to (i) send international remittances to Recipients, (ii) send or receive money to/from other Pesapeer users (wallet-to-wallet transfers), (iii) spend via the Pesapeer Card, or (iv) withdraw funds back to your own bank account (where supported). You must not use the Wallet for unlawful purposes, such as fraudulent transactions, arbitrage, gambling (if prohibited), purchases of illegal goods/services, or any activity that violates these Terms or applicable law. We reserve the right to impose limits on Wallet transactions or balance amounts and to monitor all activities for compliance and risk management. If your Wallet is inactive for an extended period, or if required by law, Pesapeer may charge a reasonable dormancy fee or close the Wallet with notice, as permitted under applicable regulations.
International Money Transfer Service
Pesapeer’s core service is to enable fast, secure, and low-cost international money transfers (remittances) for our users. By initiating a Remittance through Pesapeer, you agree to the following terms:
- Remittance Instructions: To send money, you must have sufficient funds in your Pesapeer Wallet (or provide an authorized payment source at the time of transaction). Through our app/website, you will specify the Recipient’s details, the destination country, the payout currency, and the amount to send. It is your responsibility to provide correct Recipient information (such as the recipient’s full name as on ID, their bank account or mobile wallet details, etc.). Pesapeer is not liable for delays or losses if a transfer is sent to an incorrect recipient due to errors in the information you provided.
- Processing of Transfers: When you submit a transfer request, you authorize Pesapeer to debit your Wallet (or charge your linked funding source) for the principal amount and any applicable fees or charges, and to remit the funds to your designated Recipient. Pesapeer will then process the Remittance – this may involve converting your funds into the Recipient’s local currency at the disclosed exchange rate and instructing our local payout partners or systems to deliver the money to the Recipient. Pesapeer provides an execution-only service, meaning we follow your instructions to pay out funds and do not have discretion to manage or invest your money beyond executing the transfer. We and our partners will endeavor to have the funds available for the Recipient promptly, often within minutes, although actual delivery times can vary. Factors such as different time zones, intermediary bank cut-off times, or additional verification needs can cause delays.
- Service Availability: Pesapeer’s transfer service is generally available 24/7. However, there may be periods when the service is temporarily unavailable due to maintenance, upgrades, or circumstances beyond our control (e.g. power outages, network failures, system outages, war or natural disasters – also known as force majeure events). Pesapeer will not be liable for any delay or failure in processing your Remittance during such periods. We may also decline or postpone a transfer if required to ensure compliance with law or our internal policies (for example, if a transfer triggers an alert that requires further investigation). In such cases, we will typically inform you of the delay unless legally prohibited.
- Transfer Limits: For security and regulatory compliance, Pesapeer may impose limits on the amount you can send per transaction, per day, or over a rolling period. These limits can depend on your verification status, your country of residence, and other factors. For example, we might set a daily limit and a monthly aggregate limit on certain accounts (e.g. a user in the U.S. may be limited to $1,000 per day and $2,000 per month in transfers). Current applicable limits are shown in the app or will be communicated to you. We reserve the right to change limits (higher or lower) for any user or transaction based on risk assessments or changes in law. If you need to send amounts beyond the established limits, please contact Customer Support – approval is not guaranteed and will be subject to enhanced due diligence.
- Fees and Pricing: Pesapeer is committed to a transparent, low-fee (often fee-free) pricing model for money transfers. As of the Effective Date of these Terms, Pesapeer charges 0 USD/EUR/GBP in explicit fees for standard personal remittances – i.e., no transfer fee for sending money internationally using your Wallet. What you see is what you get: the amount you send and the amount your Recipient receives will be clearly shown before you confirm a transaction, with no hidden charges. However, Pesapeer reserves the right to introduce or adjust fees in the future (for example, for certain funding methods, currency conversions, business/commercial transactions, or expedited services). If any fees apply, they will be disclosed to you upfront in the app/website before you complete the transfer. Pesapeer’s revenue may come from a small margin on currency exchange rates or other ancillary services, but we strive to maintain a customer-centric, competitive exchanger ate and fee-free approach to beat traditional banking costs. You acknowledge that exchange rates may fluctuate and that the rate applicable to your transaction is locked in at the time of confirmation.
- Cancellation and Refunds: Once you have submitted a transfer and we have begun processing it, cancellation may not be possible due to the fast execution of our service. If you believe a transfer was made in error or you need to attempt cancellation, contact our support immediately. If the funds have not yet been disbursed to the Recipient, we may attempt to cancel and refund you, but we make no guarantee. If a transfer cannot be completed (for instance, if the Recipient’s bank account details were incorrect and the money is returned to us), we will credit the amount (minus any non-recoverable costs, if applicable) back to your Wallet balance and notify you. Refunds, when issued, will generally be returned in the original payment currency and method.
- Recipient’s Access to Funds: Recipients will generally receive money via deposit to their bank account, mobile money wallet, Pesapeer wallet (if available), cash pick-up, or other methods supported in their country. Pesapeer will communicate to you the available payout options at the time of transfer. We rely on a network of banking partners, payment processors, and payout agents in each destination to fulfill transfers. In some cases, the Recipient may be required to show identification or take additional steps to claim the funds (especially for cash pick-up or if mandated by local law). Pesapeer is not responsible for a Recipient’s failure to receive funds if the Recipient does not complete required steps or delays in claiming the money.
- Remittance Records: Your transfer history will be available in your Pesapeer account (under "History" or similar). Each transaction record will show the date, amount sent, exchange rate, fees (if any), Recipient info (masked for privacy), and status. Please review your transaction records and contact us if you notice any errors or unauthorized transfers. We will also provide you with receipts or confirmations for your transactions electronically. It is your responsibility to retain copies of these records (or to print/save them) for your personal accounting.
Pesapeer Debit Card Terms
Pesapeer may offer a debit card (physical or virtual) linked to your Wallet balance (the "Pesapeer Card") as a convenient way to spend your funds in multiple currencies. The following terms apply to Card holders:
- Card Issuer and Acceptance: The Pesapeer Card is issued by Pesapeer or a licensed financial institution partner on our behalf, pursuant to our Electronic Money Institution license or other relevant authorization. The Card will bear a card network logo (e.g., Visa or Mastercard) and can be used at any merchant or ATM that accepts that network, subject to the funds available in your Wallet and the currency settings. When you use the Card, you are instructing us to deduct the transaction amount (and any applicable fees) from your Pesapeer Wallet. If the purchase is in a different currency than your Wallet, we will perform a currency conversion at the applicable rate and may charge a conversion fee if disclosed.
- Activation and PIN: Upon receiving a physical Card, you must activate it (through the app or as instructed) and set a Personal Identification Number (PIN) for ATM or point-of-sale use. Virtual cards will be activated digitally. You agree to sign the back of a physical card (if provided with a signature strip) immediately upon receipt. The Card, once activated, is for your personal use only – you must not share your Card or reveal your PIN to anyone.
- Ownership and Expiration: The Pesapeer Card remains the property of the issuer and is provided to you for use under these Terms. We may cancel or suspend the Card at any time if we have reason (e.g., for security, if you breach these Terms, or if required by the card scheme or law). Cards have an expiration date; if your account remains in good standing, we may issue you a new card before the old one expires. You must destroy expired or deactivated cards.
- Using the Card – Authorizations: By using the Card for a purchase or ATM withdrawal, you are authorizing a transaction. Most card transactions will be authorized instantly against your Wallet balance. You should ensure you have sufficient funds in the appropriate currency wallet; otherwise, we may decline the transaction or, if we allow, auto-convert from another currency wallet you hold (fees may apply for conversion). Prohibited Uses: You must not use the Card for any illegal transactions (e.g., unlawful gambling, fraud, or the purchase of prohibited goods) or in violation of sanctions. We reserve the right to decline any Card transaction that we believe is suspicious, unauthorized, or violates these Terms or card network rules. For example, we may refuse to authorize a charge if it would cause you to exceed applicable limits or if we believe the transaction is fraudulent or would breach a law. If we decline a transaction, when feasible we will inform you (typically via the app notification), unless doing so would violate security measures or applicable law.
- Card Limits and Fees: Card usage may be subject to separate limits from your transfer limits. For instance, there may be daily ATM withdrawal limits or per-transaction maximums. These will be communicated in the app or Card terms summary. Pesapeer strives to keep Card fees low; we do not charge monthly fees for the card itself, but certain actions may incur fees (which are disclosed in our Fee Schedule). For example, ATM withdrawals might incur a fee above a certain number of free withdrawals, and using the card in a currency different from your Wallet might incur a small FX conversion fee. Any such fees will be clearly disclosed to you in advance (either in these Terms, the app, or the card carrier letter). The merchant or ATM provider may also charge their own fees (Pesapeer has no control over third-party surcharges).
- Liability for Unauthorized Card Transactions: If your physical card is lost or stolen, or you suspect that your card details (including a virtual card) have been compromised, you must notify Pesapeer Customer Support immediately. We will block the card to prevent further use. You should also immediately suspend the card through the mobile app if possible. You may be held responsible for transactions made with a lost/stolen card or compromised card credentials until you have reported the issue to us. Under applicable laws, your liability for unauthorized transactions may be limited ifyou report promptly. We adhere to card network zero-liability policies where applicable, meaning you might not be responsible for fraudulent charges provided you didn’t mislead us and reported the issue promptly. We will investigate any reported unauthorized transactions and, if you are eligible, credit your Wallet for the amount of the unauthorized transaction (minus any applicable deductible as per law).
- Card Security and Care: You agree to safeguard your Card as you would cash. Do not write down your PIN or keep it with the Card. Enable additional security features we offer, such as card transaction alerts via the app or 2-factor authentication for online card purchases (e.g., 3D Secure). If you add your Pesapeer Card to a mobile wallet or use it online, ensure that your devices are secure and not infected with malware. Pesapeer uses advanced encryption and monitoring to protect your card transactions, but your vigilance is also required.
- Disputes with Merchants: If you have a problem with a purchase made using the Pesapeer Card (e.g., the goods were never delivered or the amount charged is incorrect), you should first attempt to resolve the issue with the merchant. If that fails, you may contact Pesapeer to file a dispute. We will assist in the dispute process in accordance with card network rules (which may include submitting chargeback requests on your behalf). You must notify us of any unauthorized or disputed transaction as soon as possible, ideally within 60 days of the transaction posting. Delayed reporting can make it more difficult for us to assist.
- Supplemental Card Terms: Additional terms specific to the Pesapeer Card program (such as an accompanying Cardholder Agreement or Fee Schedule)will be provided to you when you request or activate a card. Those terms are considered part of this agreement. In case of any direct conflict between these Pesapeer Terms and the specific Card terms, the Card terms will prevail with respect to your use of the card (except that general provisions of these Pesapeer Terms, such as dispute resolution and governing law, continue to apply).
Compliance, Anti-Fraud, and Acceptable Use Policy
Pesapeer is committed to complying with all applicable financial regulations and ensuring the integrity and security of its Services. By using Pesapeer, you agree to use our Services lawfully and cooperate with all compliance requests. Key compliance and acceptable use terms include:
- Regulatory Licenses and Oversight: Pesapeer and its affiliates maintain appropriate licenses/registrations in the jurisdictions where we operate, andwe adhere to local and international compliance guidelines. For example,
- Pesapeer Inc. is registered in Canada with the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC) as a Money Service Business (MSB Reg. No. M20300281) and with the
- Pesapeer Inc is registered with the U.S. Financial Crimes Enforcement Network (FinCEN) as an MSB (Reg. No. 31000231722151).
- Pesapeer Payments Limited is authorized and regulated in the UK by the Financial Conduct Authority (FCA) as an Electronic Money Institution (FRN 931425).
- Pesapeer Pty Ltd is registered in Australia with AUSTRAC as an independent remittance dealer (Reg. No. IND100859468-001).
- Pesapeer limited has obtained a Central Bank of Nigeria International Money Transfer Operator (IMTO) licence, allowing us to directly facilitate remittances into Nigeria in compliance with CBN regulations.
- In the UAE, where Pesapeer also offers services, we operate in partnership with a locally licensed provider (Fuse Financial Technologies or its affiliate) to comply with UAE Central Bank and/or DIFC regulations – ensuring that our UAE customers’ transactions are handled under proper regulatory oversight. These licenses and partnerships underscore Pesapeer’s commitment to legal compliance across all regions of operation.
- Anti-Money Laundering (AML) and Counter-Terrorism Financing: We take our AML/CTF obligations very seriously. All Users are subject to customer due diligence (as described in the KYC section above) and transaction monitoring. Pesapeer employs automated and manual measures to detect and prevent suspicious activities, including screening transactions against international sanctions lists and monitoring patterns that might indicate money laundering, fraud, or other illicit activities. You must not use Pesapeer to conduct or attempt any transaction that is illegal or violates AML/CTF laws, such as: money laundering, funding terrorist organizations, evading sanctions, committing fraud, or exploiting our service for any form of unlawful financing. If we have reason to suspect any User or transaction may be involved in such activities, we will take appropriate action which may include: declining or blocking transactions, freezing the account, requesting additional information, and/or filing a report with the relevant regulatory or law enforcement authorities. Pesapeer is legally obligated to report certain activities (e.g., large cash transactions or suspicious transactions) and to cooperate with government inquiries. These actions may be taken without prior notice to you, to avoid tipping off any suspected wrongdoers.
- Fraud Prevention and User Integrity: You agree to use Pesapeer only for legitimate purposes. Any fraudulent, deceptive, or manipulative activity is strictly prohibited and will result in immediate account termination and potential legal action. This includes activities like using stolen payment methods, providing false information, attempting to initiate unauthorized transfers, exploiting software bugs or vulnerabilities, impersonating someone else, or attempting to bypass our security measures. Pesapeer uses advanced security measures, including encryption and constant transaction monitoring, to safeguard the platform. We may also place holds or delays on transfers to prevent fraud or if required by applicable Mastercard/Visa rules or laws. If we detect what we reasonably believe to be fraudulent or unauthorized use of your account or the Services, we may suspend your account while we investigate, and we will attempt to contact you as soon as possible.
- Acceptable Use – Prohibited Activities: In addition to the above, the following activities are not allowed on Pesapeer:
- Using the Services in violation of any economic sanctions or trade restrictions (for example, sending or receiving funds involving persons or countries that are sanctioned by the UN, U.S., EU, UK, or other authorities). Pesapeer may screen and block transactions related to sanctioned countries or parties.
- Using Pesapeer to gamble online or fund any gambling transactions, if prohibited by either your local law or the recipient’s local law (this includes lottery tickets, casino chips, off-shore betting, etc., unless clearly legal and authorized).
- Funding or facilitating any activity that is fraudulent or involves the proceeds of crime, including pyramid schemes, Ponzi schemes, identity theft, or sale of counterfeit goods.
- Using automated scripts or robots to collect information from our website or interfere with our Services; engaging in denial-of-service attacks or any behavior that could harm our infrastructure.
- Attempting to circumvent transaction limits or operational controls – e.g., by opening multiple accounts or sending split transactions to avoid regulatory reporting thresholds.
- Any other activity that we communicate to you as being prohibited (Pesapeer may publish an Acceptable Use Policy with further details, which, if provided, is incorporated by reference into these Terms).
If you are unsure whether your intended use of Pesapeer is allowed, please contact us for clarification before proceeding. We reserve the right to update the list of prohibited activities at any time, to align with changes in law or the evolution of our risk policies.
Cooperation and Reporting: You agree to cooperate with any request from us or any competent authority regarding your use of the Services. This may include providing promptly any documents or information we ask for as part of an investigation or compliance check (e.g., proof of address, additional ID, explanation of the purpose of a transfer, etc.). Failure to respond to such requests may result in suspension of your account. Furthermore, you acknowledge that Pesapeer may report any suspicious or illegal conduct to law enforcement or regulatory authorities (including disclosing your personal information and transaction history), consistent with our legal obligations.
User Responsibilities and Security
Beyond compliance matters, you as a user have general responsibilities to ensure the safe and proper use of Pesapeer:
- Accuracy of Information: You represent and warrant that all information you provide to Pesapeer, at signup and throughout your use of the Services, is true, accurate, and up-to-date. This includes personal details, identity documents, payment information, and Recipient details for each transfer. You must promptly update any information in your account that changes (such as a new address or expiry of your ID). We are not responsible for losses incurred due to your failure to update your information or if you provide incorrect Recipient details.
- Account Security: You must keep your Pesapeer account secure. This means maintaining the confidentiality of your login credentials, using a strong unique password, and restricting access to your account. If you use biometric access (fingerprint, face ID) on your mobile device for the Pesapeer app, ensure that only your biometrics are registered on the device.Do not share account access with others. You also should log out of the app or website when finished, especially on shared or public devices. Immediately notify Pesapeer Support if you suspect that your account has been compromised or accessed without authorization. We may ask you to provide information and take steps to secure your account (like changing your password). Pesapeer will not be liable for any loss you suffer from unauthorized access or transactions on your account if you have contributed to the compromise of your credentials or delayed notifying us.
- Device Security: It is your responsibility to keep your computers and mobile devices used to access Pesapeer free from malware, viruses, and unauthorized access. Use up-to-date antivirus software and install operating system security updates. If you lose your device on which the Pesapeer app is logged in, you should inform us and use any available device management service (like Find My iPhone/Android) to remotely wipe or lock the device.
- Review Your Transactions: We strongly encourage you to regularly review your Pesapeer account history and statements. If you see any transaction that you did not authorize or any error, you must inform us as soon as possible (ideally within 30 days of the transaction date). The sooner you report an issue, the more effectively we can investigate and take corrective action. In certain jurisdictions, your rights to dispute transactions may be time-limited (for example, card chargebacks or consumer error reports often must be made within 60-120 days).
- Responsible Use: You agree to use Pesapeer in a responsible manner. This includes only initiating transactions that you are legally permitted to make and for which you have sufficient funds. If you misuse the Services (for example by trying to overdraw your Wallet or initiating transfers with no intent to complete payment), we may charge you for any resulting costs and take other remedial actions. Pesapeer may, in its discretion, let a transaction proceed even if your account is slightly short (creating a negative balance); if so, you agree to reimburse the negative balance immediately upon notice. Repeated overdrafts or failed payments from your linked bank may result in fees or account closure.
- Communication: Keep your contact information (email, phone number) current and monitor communications from Pesapeer. We will communicate important information to you via the app, email, or SMS. Notices about changes to these Terms, security alerts, or verification requests will be sent to the contact information you provided. You are deemed to have received such communications within 24 hours of us sending them through the app orto your email/phone on record. If you don't respond to communications that require action (for example, confirming a suspicious transaction), we may take actions like holding transactions for your protection.
Limitation of Liability
Pesapeer strives to provide Services at high standards of care; however, there are certain limitations to our liability to you, as described below. Please read this section carefully as it limits our legal responsibility and remedies you might otherwise have.
- No Warranty of Error-Free Operation: The Pesapeer Services are provided on an "as is" and "as available" basis, without any express or implied warranty or guarantee that they will be uninterrupted, error-free, or completely secure. While we work hard to ensure fast and reliable service, we do not guarantee that every transaction will always be completed within a particular timeframe or that access will never be subject to delays, especially when factors outside our control are involved. We disclaim any implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent permitted by law.
- Limitation on Direct Damages: If Pesapeer is found liable to you for any reason, our liability will be limited to the actual amount of direct damages you incur. In most cases, this would be the amount of the disputed transaction or fees paid to Pesapeer. For example, if an error by Pesapeer results in you being charged a fee or your transfer failing, we may refund the fee or the amount of the transfer (or deliver the undelivered amount). This cap on liability is subject to applicable law and does not limit any rights you may have for reimbursement under regulatory protections (for instance, under Canadian or UK regulations covering unauthorized transactions, which might mandate broader user protection—those would apply in accordance with the law).
- No Liability for Indirect or Consequential Loss: Pesapeer is not liable for any indirect, incidental, consequential, special, or punitive damages or losses you may suffer. This includes, for example, any loss of profits, loss of business opportunity, loss of goodwill, or other intangible losses; any loss arising from your inability to use the Services (due to downtime or suspension); or losses resulting from unauthorized access to or alteration of your transmissions or data (provided we have adhered to required security standards). In short, we will not compensate you for things like the downstream effects of a transfer arriving late or for your bank’s overdraft fees if a funding transaction fails, etc., except to the extent required by law.
- No Liability for Third-Party Services: Pesapeer may integrate with or rely on third-party banks, payout partners, mobile wallets, identity verification services, card issuers, or other service providers to operate. While we choose our partners carefully, we do not control third-party actions. We are not liable for failures or errors by any third party that we do not directly control, including: delays by a recipient’s bank, cash pickup agent failures, third-party system outages, or identity verification vendors incorrectly rejecting your documents. However, if you encounter an issue caused by a partner, we will do our best to assist in resolving it and you may ultimately have recourse against that third party (we’ll provide information needed for you to make a claim against them, as appropriate).
- Specific Exclusions: Without limiting the generality of the above, Pesapeer and its officers, directors, employees, and affiliates will not be liable for any losses or damages that result from: (a) your breach of these Terms or your negligence/misconduct; (b) any fraudulent or unauthorized use of your account if you failed to keep your security obligations (e.g., sharing your password); (c) incorrect information you provided (like sending to the wrong account number); (d) circumstances beyond our control (force majeure events, including government actions that impact service); (e) Pesapeer’s compliance with legal requirements or regulatory orders (for instance, freezing an account due to a court order or law enforcement request); or (f) your use of Pesapeer in a prohibited manner.
- Australian Consumers (if applicable): If you are using our Services in Australia, you may have statutory guarantees under the Australian Consumer Law. Nothing in these Terms is intended to exclude or restrict any non-excludable right or remedy you have under such laws; any limitations in these Terms apply only to the maximum extent permitted by applicable law.
Note: Some jurisdictions do not allow the exclusion of certain warranties or the limitation/exclusion of liability for certain types of damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law. These provisions do not affect any liability which cannot be excluded or limited under law(for example, liability for death or personal injury caused by gross negligence or willful misconduct).
Suspension, Termination, and Account Closure
Pesapeer reserves the right to suspend or terminate your access to the Services under certain circumstances:
- By Pesapeer (Without Cause): We may terminate this agreement and close your account for convenience by providing you notice (e.g., via email) at least 30 days in advance. For example, if we decide to discontinue the Pesapeer service in your region, we might close accounts with proper notice.You will be given a chance to withdraw any remaining Wallet balance.
- By Pesapeer (With Cause): We may suspend or terminate your account immediately, without prior notice, if we determine in our sole discretion that: (a) you have violated these Terms or any applicable law or regulation; (b) you have engaged in fraud, attempted fraud, or other wrongful acts; (c) you have provided false or misleading information or refused to provide required information; (d) you are using the account in a manner that could cause Pesapeer legal liability or risk (including reputational risk); or (e) your account is associated with suspicious or criminal activity. In cases of termination for cause, we will, where permitted, inform you after the fact and may provide the reasons (unless prohibited by law or security reasons). Fraud or illegal activity is grounds for immediate termination and potential confiscation of funds (e.g., if required by law to be handed to authorities).
- Compliance-Related Suspension: If at any time we are unable to verify your identity or required information to our satisfaction (for instance, if you fail a KYC check or a re-verification), or if your transaction activity triggers compliance red flags, Pesapeer may suspend your account’s functionality. During suspension, you will not be able to initiate new transfers or withdraw funds. We will notify you of the suspension and what steps need to be taken to resolve it (such as submitting additional documents). If you do not respond or the concerns cannot be resolved, we may proceed to close your account.
- Effect of Termination: Upon termination or closure of your account, whether initiated by you or us, you will no longer be able to use the Pesapeer Services. You must immediately cease using any Pesapeer Cards (we may also instruct the card network to cancel your card). You remain responsible for any outstanding obligations incurred before termination. Any pending transactions will be cancelled (to the extent possible). If you owe any fees or negative balances, you will still be liable to pay those even after termination.Conversely, if you have funds remaining in your Pesapeer Wallet, we will generally return them to you via a method of our choosing (for example, refund to your linked bank account) minus any applicable fees. In certain scenarios, regulatory requirements (like sanctions or court orders) may prevent us from releasing funds immediately – if so, we will inform you on how you might later claim your money.
- Appeal and Review: If we suspend or terminate your account and you believe it was done in error, you may contact Customer Support to request are view. While we cannot guarantee reinstatement, we will review any pertinent information you provide and determine if any mistake was made or if remediation is possible. Pesapeer’s decision in this regard will be final.
- Survival: Any provisions of these Terms which by their nature should survive termination (such as Limitation of Liability, dispute resolution, and our rights to any owed amounts) will continue to be in effect even after your account is closed.
Changes to These Terms
Pesapeer may modify or update these Terms and Conditions from time to time. If we make material changes, we will notify you by e-mail, in-app notification, or by posting a prominent notice on our website prior to the change becoming effective. The notice will outline the key modifications and the effective date of the updated Terms. For minor or non-substantive changes (such as clarifications or grammatical fixes), we may not provide advance notice, but the latest version of the Terms will always be available on the Pesapeer website.
Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the changes, you have the right to terminate your use of Pesapeer before the updated Terms apply to you (you can close your account at any time). We encourage you to review the Terms periodically to ensure you understand the obligations and rights at any given time.
Governing Law and Dispute Resolution
Governing Law: Due to Pesapeer’s global operations, different laws may apply depending on the jurisdiction of our relationship with you. In general, these Terms and your use of the Services will be governed by the laws of the jurisdiction in which the Pesapeer entity servicing your account is incorporated, except where overridden by mandatory local consumer protection laws. For example, if you are aresident of the United Kingdom or European Union using Pesapeer, these Terms shall be governed by the laws of England and Wales (as Pesapeer Payments Limited is a UK company). If you are a customer of Pesapeer Inc. in Canada or another non-UK jurisdiction, Canadian federal and Ontario provincial laws may govern. In the UAE, local UAE law may have mandatory application for services provided there. Notwithstanding the above, we will abide by any applicable consumer rights and online financial services regulations that apply in your country of residence, to the extent they cannot be lawfully limited by contract.
Jurisdiction and Venue: Any dispute or claim arising out of or relating to these Terms or the Pesapeer Services shall be subject to the non-exclusive jurisdiction ofthe courts of the applicable governing law jurisdiction noted above. "Non-exclusive jurisdiction" means that you may also have the right to bring an action in your country of residence if the law so provides. Our aim is to resolve issues fairly and efficiently. Thus, we strongly encourage you to contact our Customer Support first to attempt an informal resolution of any complaint before resorting to legal action.
Arbitration (if applicable): In some regions, we may offer or require that disputes be resolved by binding arbitration instead of in court, especially for users outside of Europe. If an arbitration agreement applies to you (which would be provided separately or in a jurisdiction-specific addendum), then any disputes would be handled through a neutral arbitration process and not by a judge or jury, and perhaps as individual claims rather than class actions. Please refer to any supplemental country-specific terms for details on arbitration procedures and rights, as applicable.
Class Action Waiver: To the extent permitted by law, you and Pesapeer agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
This Governing Law and Dispute Resolution section is not intended to limit your statutory rights as a consumer; it primarily clarifies which laws will govern and how disputes might be handled. Miscellaneous Provisions
- Entire Agreement: These Terms and Conditions (along with any documents incorporated by reference, such as the Privacy Policy and any country-specific disclosures or Card terms provided) constitute the entire agreement between you and Pesapeer regarding the Services. They supersede any prior agreements or understandings (whether oral or written) about the same subject matter.
- Severability: If any provision of these Terms is held to be invalid or unenforceable by a court or regulatory authority, the remaining provisions shall remain in full force and effect. We may replace any invalid term with a valid provision that comes closest to the intention of the original.
- No Waiver: Our failure or delay in enforcing any right or provision under these Terms does not constitute a waiver of that right or provision. Any waiver must be expressly granted in writing by Pesapeer.
- Assignment: You may not assign or transfer any rights or obligations under these Terms without our prior written consent. Pesapeer may transfer or assign our rights and obligations to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of our assets, and you hereby consent to such assignment. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
- Third-Party Rights: These Terms are between you and Pesapeer. Except for Pesapeer affiliates (who are expressly covered by the definitions of "we/us"), no other person has any rights to enforce any term of this agreement as a third-party beneficiary. For example, even if you are using the Services to send money to someone, that Recipient is not a party to these Terms with us.
- Language: These Terms are drafted in English. If we provide a translation in another language, it is for convenience only. In the event of any inconsistency between the English version and a translated version, the English version will prevail (to the extent permitted by law).
- Customer Service and Complaints: Pesapeer values your experience. If you have any questions, concerns, or complaints about the Services, please contact our Customer Support. You can reach us via email at support@pesapeer.com or through the in-app chat feature. We will do our best to resolve your issue as soon as possible. For formal complaints, especially regarding regulated activities, we have a complaint handling procedure – we will acknowledge receipt of your complaint, investigate, and respond within a reasonable timeframe. If you are not satisfied with our resolution and you are in a jurisdiction with a financial ombudsman or regulator, you may be able to escalate the complaint externally (we will provide guidance on this in our final response).
